Scope of Work
The scope of work will be as agreed between the parties and detailed in the service agreement. We reserve the right to modify the scope of work upon mutual agreement.

Payment Terms
All invoices are due within 30 days of the invoice date unless stated differently on the invoice. Late payments may accrue interest at the statutory rate as per UK law.

Payment Method
Payments can be made via bank transfer. Our bank details will be provided on the invoice.

Dispute Resolution
Any disputes relating to the invoice or services provided should be raised within 14 days of the invoice date. Failure to do so may be considered acceptance of the charges.

Delivery and Risk
All goods are delivered Ex Works (EXW), and the risk transfers to the client when the goods are made available at our premises.

Title Retention
We retain the title to all goods until full payment is received.

Warranty
We provide a standard 12-month warranty on all our marine services, covering defects in materials and workmanship (used materials and spares are excluded). This does not cover damage caused by incorrect installation, normal wear and tear, or misuse.

Liability
Our liability for any claim, whether in contract, tort, breach of statutory duty, or otherwise, shall not exceed the price of the services provided.

Force Majeure
We are not liable for any failure or delay in performing our obligations where such failure or delay results from any cause beyond our reasonable control.

Termination
Either party may terminate the agreement with written notice, as detailed in the service agreement. Upon termination, all outstanding payments become due immediately.

Health and Safety
Clients must comply with all applicable health and safety regulations when on our premises or vessels.

Jurisdiction
These terms and conditions, and any dispute arising out of or in connection with them, are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim.

Amendments
We reserve the right to revise these terms and conditions at any time. Any changes will be notified to the client in writing.

Acceptance
By engaging our services, the client agrees to these terms and conditions.

Subcontracting
We have the right to subcontract any part of the work, with the assurance that any subcontractor will be subject to the same terms and conditions stated in this agreement.

Insurance
Customers are required to maintain appropriate insurance, including third-party liability cover, for their vessels or other property while on our premises or being worked on by us.

Indemnification
The customer agrees to indemnify and hold us harmless against any claims, damages, losses or expenses that arise from their breach of these terms and conditions.

Confidentiality
All information received from the customer will be kept confidential and will not be disclosed to any third party without the customer's prior written consent unless required by law.

Intellectual Property
All intellectual property rights resulting from our services will remain our property unless otherwise agreed in writing.

Notices
Any notices required should be sent via first-class post or email to the addresses stated in the service agreement.

Waiver
Any failure or delay by us to enforce any provision of these terms and conditions will not constitute a waiver of our rights.

Severability
If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement
These terms and conditions, along with the service agreement, constitute the entire agreement between the parties and supersede any previous agreements or understandings.

Third Party Rights
Nothing in these terms and conditions gives any person who is not a party to this agreement any right to enforce any of the provisions.

Quality Standards
We commit to delivering our work following the agreed specification and maintaining a satisfactory quality standard.

Access to Premises
Clients must seek our prior written consent to carry out any work or services on our premises or vessels.

Right of Sale
Under the Torts (Interference with Goods) Act 1977, we reserve the right to sell any vessels, gear, equipment, or other property left with us for repair, refit, maintenance, or storage if the client fails to collect or accept re-delivery of the goods.
